Terms of Service

These terms govern the use of the Affely Pro licence and the hosted Affely Worker service (together, "the service"), operated by JILCH inc. (株式会社JILCH) ("we"). This is a reference translation; the Japanese text at /ja/terms/ is the governing version, and Japanese law applies.
1. What these terms cover
The WordPress plugin Affely is distributed under GPL-2.0-or-later, and that licence — not this document — governs copying, modifying and redistributing the program. Nothing here restricts your use of the plugin itself.
What these terms cover is the hosted Affely Worker service and the Affely Pro licence that entitles a site to use it.
2. Forming the contract
The contract is formed when you buy a licence by the method we specify and we confirm the payment. We may decline a purchase where the details given are false or incomplete, where a previous licence was revoked for breach of these terms, or where we otherwise reasonably judge the purchase inappropriate.
3. What a licence covers
One licence covers one WordPress site. Using the service on several sites needs one licence per site.
You are responsible for keeping your licence key and its site token; neither may be transferred, lent, shared or resold.
4. Fees, payment and renewal
You pay the fee published on the service's website, by the method we specify. Published prices include Japanese consumption tax.
A licence runs for a year and renews automatically on its anniversary at the same price. You can stop the automatic renewal by following the procedure we specify, up to the day before the renewal date.
Late payment carries interest at 14.6% per year.
5. Product data and prices
Product names, images, prices, availability, loyalty points and rankings come from Amazon, Rakuten Ichiba and Yahoo! Shopping. We relay that data rather than compile it, and we do not warrant that it is accurate, current or complete.
Prices and images refresh at most once every 24 hours, following Amazon's caching rules, so a displayed price may differ from the price at the moment it is read.
You remain responsible for what your own site displays, including under Japan's Act against Unjustifiable Premiums and Misleading Representations and any other law that applies to you.
6. Affiliate programmes
Joining Amazon Associates, Rakuten Affiliate, ValueCommerce, Moshimo Affiliate, Mercari Ambassador or any other programme — and complying with its rules — is between you and that programme. We do not act as your agent and are not responsible for your eligibility, for commissions arising, or for their payment.
7. What you may not do
- Break the law, or act against public order and morals
- Act in connection with a crime
- Infringe the intellectual property, likeness, privacy, reputation or other rights of us, other users or third parties
- Interfere with the running of the service, or use it beyond the usage limits we set
- Gain, or attempt to gain, unauthorised access
- Let a licence key or site token be used on a site other than the one it covers
- Breach the terms of Amazon, Rakuten Ichiba, Yahoo! Shopping or any other source
- Anything else we reasonably judge inappropriate
8. Suspending the service
We may suspend or interrupt all or part of the service without prior notice where we judge that: we need to carry out maintenance or an update; force majeure such as an earthquake, lightning, fire, power cut or natural disaster makes provision difficult; computers or communication lines have stopped through an accident; a change, restriction or shutdown at Amazon, Rakuten Ichiba, Yahoo! Shopping or another source makes provision difficult; or provision is otherwise difficult.
The plugin keeps working while the service is down. Product cards fall back to a link to the product page.
9. Restricting use and revoking a licence
Where you breach any of these terms, we may restrict your use of all or part of the service, or revoke the licence, without prior notice.
10. Disclaimer and limit of liability
We give no warranty, express or implied, that the service is complete, accurate, reliable, useful, fit for a particular purpose, or that it will run without interruption in your environment.
Where we are liable to you in connection with the service, our liability is limited to the total fees you paid us in the twelve months before the loss arose. This limit does not apply where we acted intentionally or with gross negligence.
We are not liable for lost profits, lost business opportunity, or other indirect or consequential loss, except where we acted intentionally or with gross negligence.
11. Changing these terms
Where we change these terms, we publish the new text and the date it takes effect on the service's website beforehand. Unless the change is to your general benefit, or is otherwise reasonable in light of its necessity and content and does not conflict with the purpose of the contract, we will seek your agreement.
12. Transfer of contractual position
Where we transfer the business behind the service to a third party, or it passes to one through a merger or otherwise, we may transfer our position under these terms, the rights and obligations they carry, and your registration and other information along with it. You agree to this in advance.
13. Governing law and jurisdiction
Japanese law governs these terms. Any dispute goes to the Tokyo District Court as the court of exclusive jurisdiction in the first instance.
